1. Introduction

1.1. Who is Niyamit?

Niyamit provides an online platform for local stores. Niyamit owns and operates the Websites (https://niyamit.in) and Mobile Applications (on platforms like Android and iOS) through which its users ("End Users") access services. Operated and managed by the Niyamit, having its registered office situated at Shop No 1-2, Shyam Residency, A-Wing, Pramukh Green-2, Mograwadi, Valsad 396001, Gujarat, India. These services, including the acceptance of cash payments and processing of refunds, are provided and managed directly by the respective vendors ("Vendors") and are not facilitated through any third-party service providers.

1.2. What are these Terms and Conditions?

These Terms and Conditions govern the use of the Niyamit platform. This document applies to all individuals who access or use our services, including End Users and Visitors of our website and mobile applications (collectively referred to as "Users").

By accessing or using the platform, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the platform.

1.3. Purpose of these Terms and Conditions

These Terms and Conditions set out:

• The conditions for use of the platform;
• The rights and obligations of Users and Vendors;
• The rules and restrictions applicable to the services; and
• Other necessary legal and operational provisions.

1.4. Legal Compliance

These Terms and Conditions are published in accordance with applicable Indian laws, including:

1. 1.4.1. Section 43A of the Information Technology Act, 2000;
2. 1.4.2. Regulation 4 of the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011 (the "SPI Rules"); and
3. 1.4.3. Regulation 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011.
4. 1.4.4. Other applicable laws and regulations

Please read these Terms carefully before you use the Platform. If you do not agree to these Terms, you may not use the services on the Platform, and we request you to uninstall the App and not access the Platform.

Niyamit retains the unconditional right to modify or amend these Terms. You can determine when these Terms were last modified by referring to the 'Last Updated' legend above, and You can access the latest version of these Terms at any given time on the Platform. You should regularly review the Terms on the Platform.

2. Eligibility

Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872, including un-discharged insolvent, are not eligible to use the Site.

Minors (individuals under the age of 18 years but at least 13 years of age) may use the Site only under the supervision of a parent or legal guardian who agrees to be bound by these Terms of Use. If you are under 18, your parents or legal guardians can transact on your behalf if they are registered users. You are prohibited from purchasing any material intended for adult consumption, the sale of which to minors is prohibited.

3. Pricing Policy

All products listed on the Site will be sold at MRP unless otherwise specified. The prices mentioned at the time of ordering will be the prices charged on the date of delivery. Although the prices of most products don't fluctuate daily, some commodities and fresh food prices do. In case the prices are higher or lower on the date of delivery, no additional charges will be collected or refunded, as the case may be, at the time of the order's delivery.

The prices for Products and services listed by Sellers on the Platform are determined entirely by the vendors themselves, and Niyamit does not participate in or influence this pricing process in any manner. The prices of the Products and services may vary due to various factors, and You should check the price on the Platform before placing an order. By placing an order, You agree to pay the prices mentioned therein. All the Products listed on the Platform will be sold in Indian Rupees (₹) either at the Maximum Retail Price (MRP) (inclusive of all taxes) or at a discounted price, unless otherwise specified. The prices of the Products and services constitute an offer for sale by the Sellers and may be modified by the vendors from time to time without prior notice.

Niyamit endeavors to display the Products and services at the most accurate prices possible on the Platform. There may be inadvertent errors with respect to the price and other information of the Products or services; You may bring such errors to Our notice, and We shall effect necessary corrections. However, Niyamit shall not be liable in case the Vendor proceeds with canceling of such an order.

3.1. Promotional Offers, Influencer Codes & Referral Sharing

3.1.1. General Usage

• Niyamit may, from time to time, provide promotional offers, discount coupons, or promo codes, including those distributed through influencer partnerships or direct customer sharing.
• Promo codes are valid only for a limited period and must be used within the specified validity duration.
• Each promo code is applicable only to qualifying products or services as explicitly mentioned on the Platform, product page, or promotional communication.
• Promo codes are applicable to both new and existing Users unless otherwise specified for a particular campaign.
• Discounts will be applied only when a valid promo code is entered at the time of checkout and cannot be applied retrospectively.

3.1.2. Limitations & Restrictions

• Promo codes are non-transferable, cannot be resold, and hold no cash value.
• Only one promo code may be used per order unless explicitly stated otherwise.
• Promo codes cannot be combined with other offers, discounts, or vouchers unless permitted.
• Discounts apply only to the product price and do not cover delivery fees, platform fees, taxes, or other applicable charges.
• The User is responsible for ensuring correct application of the promo code at checkout.

3.1.3. Influencer Promotions

• Niyamit may partner with influencers to provide unique promotional codes ("Influencer Codes").
• Influencer Codes are intended solely for the influencer's audience and shall not be distributed on public coupon-sharing platforms without authorization.
• Any unauthorized sharing, misuse, or leakage of such codes may result in immediate deactivation without notice.
• Niyamit reserves the right to modify, suspend, or cancel influencer-based promotions at any time without liability.

3.1.4. Social Sharing & Referral Usage

• Certain promo codes may be shared by Users with friends, family, and personal networks for non-commercial use.
• Such codes are intended for personal sharing only and must not be used for bulk distribution, resale, or commercial promotion.
• Niyamit reserves the right to monitor usage patterns and limit redemptions or deactivate codes in case of abuse, automated usage, or policy violations.

3.1.5. Validity, Expiry & Usage Limits

• Each promo code is subject to a defined expiry date and usage conditions.
• Usage limits (e.g., single-use or multi-use) may vary by campaign.
• With respect to expired promo codes, Niyamit reserves the sole and absolute discretion to modify, reactivate, extend, or continue to keep such codes expired. Niyamit's decision in this regard shall be final and binding, and users shall have no right to object to the same.

3.1.6. Right to Cancel & Fraud Prevention

• Niyamit reserves the right to cancel any order or deactivate any promo code in cases of suspected fraud, misuse, technical errors, or violation of these Terms.
• If an order placed using a promo code is canceled or returned, the refund amount shall be limited to the actual amount paid by the User.

3.1.7. Disclaimer of Liability

• Niyamit shall not be held liable for any inability to use promo codes due to expiry, technical issues, or misunderstanding of terms.
• Promo codes shared via unauthorized third-party platforms or websites shall not be the responsibility of Niyamit.

3.2. Promotion Funding, Vendor Liability & Settlement

3.2.1. Responsibility for Discounts

All discounts offered through promo codes on Vendor-listed products shall be borne entirely by the respective Vendor unless explicitly stated otherwise. Niyamit acts solely as a technology and marketing facilitator and does not assume financial liability for such discounts.

3.2.2. Settlement & Payouts

The discount amount applied through promo codes shall be deducted directly from the Vendor's payout or settlement account. The Vendor's net payout shall be calculated as:

All applied discounts shall be reflected in the Vendor's invoice and settlement statements.

3.2.3. Vendor Consent & Participation

By listing products on the Platform, the Vendor provides standing consent to participate in promotional campaigns, including influencer and referral-based promotions. Niyamit reserves the right to run platform-wide promotions applicable to Vendor products.

3.2.4. Indemnity & Liability

The Vendor shall indemnify and hold Niyamit harmless from any claims, disputes, or losses arising from promo code usage or discount settlements related to their products. Niyamit shall not be liable for any reduction in Vendor margins due to promotional activities.

4. Collection and Payment of Niyamit Platform Fee

4.1. Definition

The E-commerce Platform Fee is charged by Niyamit for providing access to the online platform, centralized marketing, promotions, technical maintenance, billing infrastructure, settlement processing, and other operational services.

4.2. Platform fee Collection & Ownership

Niyamit E-commerce platform fee shall be collected by the Vendor from the customer at the time of billing and shall remain the property of Niyamit. The fee is non-refundable except where required by law. The fee supports centralized marketing, platform maintenance, payment gateway costs, and other operational services necessary for smooth platform functioning. Niyamit reserves the right to charge a subscription and/or membership fee in respect of any of its product or service and/or any other charge or fee on a per order level from Customers, in respect of any of its product or service on the Niyamit Platform anytime in future.

4.3. Weight / Quantity Discrepancy & Customer Rights

If the net quantity or weight of a product received by the Customer is found to be materially less than the declared or stated weight/quantity, or beyond the permissible variation limit, the Customer shall be entitled to request a Return, Replacement, or Partial Refund.

The customer must check the quantity or weight of the products at the time of delivery or within a maximum of 2–3 hours. The customer is required to provide valid proof, such as an unboxing video, photographs, or measurement on a weighing scale (if possible), to support the claim. Requests made after 24 hours will not be considered, as fruits and vegetables are perishable in nature. Over time, weight may decrease due to moisture loss, products may become soft or begin to deteriorate, and it becomes difficult for the vendor to verify whether the shortage occurred at the time of delivery or afterward.

Upon receiving such notification, the Vendor shall verify the claim and, based on its findings and applicable policies, shall either:

• Issue a proportional refund corresponding to the shortfall in quantity, or
• Arrange for replacement of the product, as deemed appropriate.

4.4. Variation Due to Natural & Environmental Factors

Products such as fruits, vegetables, and other items that are sold loose, naturally sourced, or sensitive to environmental conditions (including handmade goods) may be subject to minor variations in weight or quantity. Such variations may occur due to natural or environmental factors including, but not limited to, moisture absorption, drying, shrinkage, or unavoidable handling loss.

Accordingly:

• The weight or quantity indicated by the Vendor shall be treated as an approximate value.
• If the difference between the declared and actual quantity falls within an acceptable tolerance range (for example, ±5%), the Customer shall not raise any claim or objection.
• Any variation exceeding the acceptable limit shall be subject to resolution between the Customer and the Vendor in accordance with applicable policies.

5. Return & Refunds Policy

5.1. No Questions Asked Return

We have a "no questions asked return and refund policy," which entitles all our customers to return the product at the time of delivery if they are not satisfied with its quality or freshness. We will take the returned product back and arrange for a refund if required.

5.2. Conditions for Returns and Refunds

However, returns and refunds are subject to the following conditions:

• 5.2.1. Fresh produce (such as fruits and vegetables) cannot be returned once delivery is complete due to hygiene constraints.
• 5.2.2. Niyamit will not entertain any claim for return or refund of perishable items (such as fresh fruits, vegetables, etc.) post 24 hours of delivery.
• 5.2.3. Return or refund of other, non-perishable products is subject to product inspection and intact original packaging.

6. Delivery Fees and Other Charges

The delivery fees cover the delivery services as part of the sale of Products purchased by You on the Platform. Additionally, You agree that certain charges, such as fees for rain, peak hours, high demand or surge periods, late-night delivery, packaging and handling, convenience or platform usage, and small cart fees, or other applicable charges, may apply. These charges will be displayed in the "View Bill" section before the checkout page on the Platform.

Supply of Products and services by vendors: Tax Invoices are issued on behalf of the vendors. For the supply of services, if any, by Niyamit, the Tax Invoice shall be issued by Niyamit.

The delivery of the orders will be made to the address You specify at the time of placing the order on the Platform. It is Your sole responsibility to ensure that the delivery address is complete, accurate, and includes any additional instructions required to facilitate delivery. Niyamit and its vendors shall not be liable for non-delivery or delays in delivery arising from an incorrect or incomplete address provided by You.

The Products will ordinarily be delivered when an appropriate person is available to receive the order at the address provided by You. If You request that the delivery be left unattended at Your address, You expressly waive and release Niyamit from any liability arising from the Products being left unattended, including, but not limited to, theft, tampering, contamination, or spoilage for any reason, including those due to changes in temperature for items requiring chilled or frozen storage.

In the event you opt for the 'Cash on Delivery (CoD)' mode, the Vendor or third-party delivery service providers shall have the right to refuse delivery of the order to You if You fail to make the complete payment. Niyamit shall treat such an order as a canceled order and shall not be liable for any losses or damage that may arise on account of such non-delivery to You. You agree to pay the delivery fee or any other applicable fees for such a canceled order towards the cost incurred on the delivery attempt.

The information about Products and the associated catalogue, including pricing, displayed on the Platform is provided by the Vendors. Niyamit cannot be held liable for any changes, errors, or omissions in this information, nor for the correctness or unavailability of these Products and services.

Niyamit is not and cannot be a party to any transaction between You and Sellers, nor does it have any control, involvement, or influence over the Products purchased or services availed by You from such Vendors.

You acknowledge and agree that Niyamit shall not, at any time, have any ownership, control, or title to any Product(s), which are subject to a bipartite sale and purchase transaction solely between You and the relevant Vendor. Niyamit does not provide any warranty or guarantee with respect to the Products or services offered for sale on the Platform and disclaims any liability related to manufacturing defects, quality, taste, or performance of the Products or services sold.

All commercial and contractual arrangements regarding the Products and services offered for sale are solely between Users and Vendors. These arrangements encompass various terms, including, but not limited to, pricing, product and service quality, applicable taxes, delivery and other fees, payment conditions, warranties (if any), and after-sales support.

Niyamit may, however, provide support services to Vendors in respect to Order fulfillment, mode of payment, payment collection, customer support, technology, and other ancillary services, pursuant to independent contracts executed between Niyamit and the Vendors.

You agree and understand that the Product images are representations of the Product and not the actual image of the Product sold to You. Therefore, You should read the physical product label for the calorific and nutrition value, usage instructions, batch number, manufacture date, use-by date/shelf life, content, weight, manufacturer, and customer support details, as may be relevant, before consuming the Products.

You shall solely be responsible for maintaining the necessary computer equipment, gadgets, and internet connections that may be required to access, use, and transact on the Platform. Niyamit will not be liable for any loss You may incur as a consequence of unauthorized use of Your Account or Account information in connection with the Platform, whether with or without Your knowledge.

Niyamit is neither obligated nor shall it mediate or resolve any disputes or disagreements that may arise between You and the Vendors. Niyamit does not endorse, either implicitly or explicitly, any sale or purchase of Products or services listed on the Platform.

However, upon receiving a written request from You following the purchase of any Products and/or services on the Platform, Niyamit may provide additional information about the Sellers involved in the transaction, as available, to facilitate direct communication between You and Sellers for the purpose of dispute resolution.

Niyamit has endeavored to ensure that all information on the Platform is accurate, but Niyamit neither warrants nor makes any representations regarding the quality, accuracy, or completeness of any data or information regarding the services or otherwise.

Niyamit shall not be responsible for the delay or inability to use the Platform or related functionalities, the provision of or failure to provide functionalities, or for any information, software, functionalities, and related graphics obtained through the Platform, or otherwise arising out of the use of the Platform, whether based on contract, tort, negligence, strict liability, or otherwise.

Furthermore, Niyamit shall not be held responsible for the non-availability of the Platform during periodic maintenance operations or any unplanned suspension of access to the Platform that may occur due to technical reasons or for any reasons beyond Niyamit's reasonable control.

Prices for any Product displayed on the Platform may be inaccurate due to technical issues, typographical errors, or incorrect information provided by the Seller. In such cases, the Vendor reserves the right to cancel the User's Order(s).

Niyamit accepts no responsibility for any breaches of applicable laws, including those governing the Products and services offered by Vendors, third-party delivery service providers, or payment gateway service providers.

7. User Conduct & Platform Usage

You hereby agree and undertake that while using the Niyamit Platform, including but not limited to placing orders, providing instructions to Vendors, communicating with customer support, delivery personnel, or any representatives of Niyamit through any medium (such as chat, call, or messaging), You shall not:

• Use any abusive, offensive, derogatory, or inappropriate language;
• Post, share, or transmit any content that is unlawful, threatening, defamatory, obscene, misleading, or otherwise objectionable;
• Engage in any conduct that may harm the reputation, operations, or users of the Platform.

In the event of any such violation, Niyamit reserves the absolute right, at its sole discretion, to:

• Suspend or restrict access to chat support or communication channels;
• Temporarily or permanently block or terminate Your access to the Platform;
• Take any other necessary action, with or without prior notice.

8. Communications

You hereby expressly agree to receive communications by way of SMS, telephone or VOIP calls, or messaging apps like WhatsApp on the registered mobile phone number, and/or electronic communications like emails from Niyamit and other third parties duly authorized by Niyamit. You further and expressly consent to the monitoring and recording, by Niyamit and/or any third party, of any and all communications between You and Niyamit or its agents, employees, consultants, contractors, or representatives, or those of their authorized partners. Such monitoring or recording waives any further notice or consent requirement under the applicable laws.

9. Advertisements

As part of the services We provide, We may facilitate and allow third-party advertisers ("Third-Party Advertisers") to place advertisements on the Platform. You understand that any content published by Third-Party Advertisers is not edited, reviewed, or otherwise endorsed by Niyamit. We disclaim, to the fullest extent permitted by law, any liability for the content published by these advertisers. It is solely the responsibility of the Third-Party Advertisers submitting material to the Platform to ensure compliance with all relevant laws. Any interactions or transactions You undertake with Third-Party Advertisers found on the Platform, including payments, delivery, and terms or representations related to their goods or services, are strictly between You and the Third-Party Advertiser. Niyamit bears no liability for errors, omissions, or inaccuracies in advertising content, or for any losses or damages arising from Your dealings with these advertisers or their presence on the Platform. Niyamit shall not be responsible for any fraudulent, misleading, or deceptive advertisements or practices carried out by Third-Party Advertisers. Any links to external websites provided in advertisements are not controlled by Niyamit, and Niyamit shall not be responsible for the content, policies, or practices of such external websites.

10. Amendments

We may modify these Terms periodically, without prior notice, to include updates, revisions, additions, or new policies affecting Your use of the services. Such changes will be posted on the Platform and will take effect immediately upon posting. We encourage you to review these Terms on the Platform regularly for any updates. By continuing to use the services and/or the Platform, You agree to accept any revised Terms.

11. Colours Disclaimer

We have made every effort to display the colors of our products that appear on the Website as accurately as possible. However, because the actual colors you see will depend on your monitor or mobile device, we cannot guarantee that your monitor's or mobile device's display of any color will be accurate. All product images are for illustrative purposes only and may not represent the exact appearance of the product delivered.

12. Definition of Personal Information

"Personal Information" and "Sensitive Personal Data or Information"
"Personal Information" is defined under the SPI Rules to mean any information that relates to a natural person which, either directly or indirectly, in combination with other information available or likely to be available with a body corporate, is capable of identifying such a person.

The SPI Rules further define "Sensitive Personal Data or Information" of a person to mean Personal Information relating to:

• 12.1. Passwords;
• 12.2. Financial information such as bank accounts, credit and debit card details, or other payment instrument details;
• 12.3. Physical, physiological, and mental health condition;
• 12.4. Sexual orientation;
• 12.5. Medical records and history;
• 12.6. Biometric information;
• 12.7. Location data;
• 12.8. Information received by body corporates under lawful contract or otherwise;
• 12.9. User details as provided at the time of registration or thereafter; and
• 12.10. Call data records.

Information that is freely available in the public domain or accessible under the Right to Information Act, 2005 or any other law will not be regarded as Sensitive Personal Data or Information.

13. Privacy Statements

13.1. Users Note

This section of the Privacy Policy applies to all Users.

Use and access to the Websites, Mobile Applications, and all other services provided by Niyamit to End Users (collectively, the "Services") is conditional upon the User's acceptance of the terms of use available at niyamit.in ("Terms of Use"), which includes acceptance of this Privacy Policy. Users who do not agree with these provisions must immediately leave the Websites, cease using, and delete the Mobile Applications.

When browsing the Websites, a User isn't required to provide Personal Information unless they choose to sign up for or avail themselves of any of the Services.

Due to the communications standards on the Internet, when a User visits the Website, Niyamit automatically receives the URL of the site from which the User came and the site to which the User is going when the User leaves. Niyamit also receives the Internet Protocol ("IP") address of each user's computer (or the proxy server they use to access the Internet), their operating system and web browser type, email patterns, and the name of their ISP.

This information is used to analyze overall User trends to help Niyamit improve its Services. The linkage between a User's IP address and the User's personally identifiable information isn't shared with third parties unless the User grants permission, or unless disclosure is required by law or necessary to provide or facilitate the Services.

Notwithstanding the above, the User acknowledges Niyamit's right to share aggregate findings (excluding specific data) with advertisers, sponsors, investors, strategic partners, and others for the purpose of growing its business.

The Websites and Mobile Applications use temporary cookies to store certain data, but Niyamit does not store personally identifiable information in them. Information collected by Niyamit that does not personally identify the User as an individual (such as utilization patterns) is exclusively owned by Niyamit and may be used by Niyamit and Third-Party Service Providers for technical administration, User administration, research and development, business development, statistical analysis, and business intelligence purposes.

Additionally, Niyamit may sell or otherwise transfer such research, statistical, or intelligence data in an aggregated or non-personally identifiable form to third parties and affiliates. We may disclose certain personally identifiable information to third-party services, including the following:

• Information you provide us: such as name, email, and mobile phone number.
• Information we collect as you access and use our service: including device information, location, and network carrier.

A User can set or amend their web browsers to delete or disable cookies. If a User chooses to disable cookies on their computer or mobile device, it may impair, degrade, or restrict access to certain areas of the Websites or Mobile Applications.

Merely closing the web browser should ordinarily clear all temporary cookies installed by Niyamit. Users are, however, encouraged to use the "clear cookies" functionality of their browsers to ensure deletion, as Niyamit cannot guarantee the behavior of all equipment used by Users of the Websites.

Niyamit may allow other companies or entities to serve advertisements to Users. These include third-party ad servers, advertisement agencies, advertisement technology vendors, and research firms. Niyamit may "target" some ads to Users who fit a certain general profile, but does NOT use personally identifiable information to target ads. In the course of serving advertisements or optimizing the Services for its Users, Niyamit may allow authorized third parties to place or recognize a unique cookie on the User's browser.

This Privacy Policy applies to the Websites, Mobile Applications, and Services that are owned and operated by Niyamit. Niyamit doesn't exercise control over the websites displayed as search results or links from within its Services. These other sites may place their own cookies or other files on the Users' computers, collect data, or solicit Personal Information from the Users, for which Niyamit isn't responsible or liable. Accordingly, Niyamit makes no representations concerning the privacy practices or policies, or the terms of use, of such third-party websites, nor does Niyamit guarantee the accuracy, integrity, or quality of the information, data, text, software, sound, photographs, graphics, videos, messages, or other materials available on those websites. The inclusion or exclusion does not imply any endorsement by Niyamit of such websites, their providers, or the information on them. Niyamit encourages users to read the privacy policies of those websites.

When a User visits or uses the Websites or the Mobile Applications via a mobile device, Niyamit may access, collect, monitor, and/or remotely store "location data," which may include global positioning system coordinates (e.g., latitude and/or longitude) or similar information regarding the mobile device's location. Location data does not collect or share any personally identifiable information about the User.

Niyamit may keep records of telephone calls received from and made to Users for administration of Services, research and development, business development, or User administration. Niyamit hereby expressly disclaims any liability for any misuse of such information that is made available by Users in this manner, and does not warrant or guarantee any such data or communication. Niyamit does not collect information about the Users of the Websites and the Mobile Applications from other sources, such as public records or bodies, or private organizations, except for the purposes of End User registration. These surveys and contests are optional, and if the User chooses to respond, their responses will be kept anonymous. The demographic information that the User provides in the registration process and through any surveys or contests is used to help Niyamit improve its services to meet the needs and preferences of Users.

Niyamit does not knowingly collect personal data from children (only persons above the age of 18 shall be permitted to use the Services, as provided in the Terms of Use). Niyamit has implemented industry-standard security policies, rules, and technical measures to protect the personal data under its control from unauthorized access, improper use or disclosure, unauthorized modification, and unlawful destruction or accidental loss.

It is expressly stated that Niyamit shall not be responsible for any breach of security, for any actions of third parties that receive Users' personal data, or for events that are beyond the reasonable control of Niyamit, including acts of government, computer hacking, unauthorized access to computer data and storage devices, computer crashes, or breach of security.

14. Opt-Out Policy

14.1. The subsidiaries and Third-Party Service Providers with whom Niyamit may share Personal Information provided by Users are not permitted to market their own services or send promotional emails to Users. Niyamit provides all Users with the opportunity to opt out of receiving non-essential, promotional, or marketing-related communication from itself or its partners. These settings can be managed on the Websites.

14.2. If a User wishes to remove their contact information from all Niyamit lists and newsletters, the User can click on the "unsubscribe" link or follow the instructions in each email message. Alternatively, the User can contact Niyamit at [email protected] or [email protected]. Niyamit reserves the right to limit membership based on the availability of contact information, and all Users will be notified by email before any action is taken.

15. Banned Products List

The listing, marketing, or sale of the following items is strictly prohibited on the Niyamit platform:
